13.4 Application and Distribution of Payments. All payments received by the Bank fromthe Borrower pursuant to this Agreement or the Notes shall, regardless of the applicationdesignated by the Borrower, be applied, first, to any sum due and owing pursuant to Article 12,second, to any fees due and owing pursuant to Article 5, third, to any premium due and owingpursuant to Section 3.2, fourth to any interest due and owing on the Loan and, fifth, to therepayment of the principal of the Loan.
13.5 Replacement of Notes. Upon the loss, theft, destruction or mutilation of any Note and （i） in the case of loss, theft or destruction, upon receipt by the Borrower of indemnity orsecurity reasonably satisfactory to it （except that if the holder of that Note is the Bank or anyother financial institution of recognized responsibility, the holder's own agreement ofindemnity shall be deemed to be satisfactory ） or （ii） in the case of mutilation, upon surrenderto the Borrower of the mutilated Note, the Borrower shall execute and deliver in lieu thereof anew Note, dated the date of the Note being replaced, in the same principle amount.
13.6 Notices. All notices pursuant to this Agreement shall be given by telex or by notice inwriting hand-delivered or sent by facsimile transmission or by airmail, postage prepaid, sent tothe telex or telecopier number or address （as the case may be） specified for the intendedrecipient may have designated by notice to the other party. All such notices shall be effectiveupon receipt, and notices sent by telex shall be deemed to have been received upon confirmationof answerback. Each such notice given by facsimile transmission shall be promptly confirmedby notice in writing hand-delivered or sent by airmail as provided herein, but failure to sendsuch a confirmation shall not affect the validity of that notice.
13.7 Waivers. No failure or delay on the part of the Bank in exercising any right hereundershall operate as a waiver of, or impair,
