Construction

The Service Terms and Conditions shall take precedence over any different or conflicting provisions in this Global Services Agreement. Client expressly acknowledges and agrees that this Agreement is the product of arms-length negotiations between UL and Client, both of whom are sophisticated commercial Parties of equal bargaining power, and that Client has in no manner relied on UL's expertise and/or superior knowledge, if any, in entering into this Agreement. Client further agrees that this Agreement shall be construed as if jointly prepared and drafted by both Parties and that under no circumstances will any provision hereof be construed for or against either Party due to that Party's actual role in the preparation or drafting of this Agreement. Headings used in this Agreement are for reference purposes only and shall not constitute any part of this Agreement.
